The standard incorporation package is $999 plus HST, including the $300 Ontario government filing fee and standard disbursements.
CPA Ontario application and registration fees are separate. Asset and goodwill rollovers, if necessary, are additional work. We confirm the scope and total fee before starting.
We provide the corporate documents necessary for you to apply for your Certificate of Authorization with CPA Ontario.
Legal Implementation of Tax-Based Rollovers
Moving an existing practice into the corporation? We can prepare the legal documentation for a section 85 rollover or other agreed reorganization. Transfer values, elected amounts and tax filings are coordinated with you. This work is quoted separately.
Questions About CPA Professional Corporations
Do I need a Certificate of Authorization?
Firm registration and a Certificate of Authorization (COA) are separate. A professional corporation practising public accounting generally needs a COA. A corporation used as a partner in a firm may not need its own COA where the firm issues and signs the reports.
Who can own shares in a CPA professional corporation?
CPA Ontario permits shareholders who are its members, professional corporations registered as firms with CPA Ontario, or a combination. A spouse or other family member does not qualify simply because of the family relationship.
Can I use a professional corporation to join a partnership?
Yes, a CPA professional corporation can be a partner in an accounting firm. The partnership arrangements, regulatory requirements and any transfer of an existing partnership interest need to be considered together.
Does incorporation limit my professional liability?
Incorporation does not remove your personal responsibility for professional services. Professional liability insurance remains important, and the position needs particular attention where your corporation will be a partner in a firm.
How long does the process take?
Our typical turnaround is two business days. CPA Ontario has its own processing time for firm registration and any required COA. Allow for both when planning your transition or practice start date.
